Researching the types of legal entities’ liquidation and improvement of their classification

Анотація: Спалах пандемії коронавірусної хвороби ускладнив несталу економікополітичну ситуацію в Україні. Це призвело до збільшення стрімкими темпами частки фінансово нестабільних юридичних осіб, відносно колосальної кількості яких було розпочато процедуру банкрутства із подальшою їх ліквідацією. У теперішній час відбувається загострення окресленої ситуації. У той же час не дивлячись на розповсюдженість застосування терміну «ліквідація юридичних осіб» на законодавчому рівні визначено тільки те, що це одна із форм припинення юридичної особи. Такий підхід призвів до дискусій серед науковців щодо розуміння сутності даного поняття та, відповідно, певних протиріч. Також на законодавчому рівні визначено, що ліквідація юридичної особи може бути примусовою або добровільною. Але, як здається, така класифікація видів ліквідації юридичних осіб не повною мірою охоплює всі можливі випадки, а отже потребує удосконалення із конкретизацією її можливих причин. Ураховуючи зазначене метою даного дослідження визначено дослідження сутності категорії «ліквідація юридичної особи» та уточнення її дефініції, а також удосконалення існуючої класифікації видів ліквідації юридичних осіб та її можливих причин.
Abstract: The outbreak of the coronavirus pandemic has complicated the volatile economic and political situation in Ukraine. This led to a rapid increase in the share of financially unstable legal entities, a relatively large number of which were initiated into bankruptcy and subsequent liquidation. Currently, the situation is exacerbated. At the same time, despite the widespread use of the term «liquidation of legal entities» at the legislative level, it is defined only that it is one of the forms of termination of a legal entity This approach has led to discussions among scholars about understanding the essence of this concept and, consequently, certain contradictions. Also at the legislative level it is determined that the liquidation of a legal entity may be compulsory or voluntary.
However, it seems that such a classification of types of liquidation of legal entities does not fully cover all possible cases, and therefore needs to be improved to specify its possible causes. Taking into account the purpose of this study, the study of the essence of the category «liquidation of a legal entity» and clarification of its definition, as well as improving the existing classification of types of liquidation of legal entities and its possible causes.
